Who we are looking for:


 


The Paralegal will assist the company’s attorneys in a variety of legal matters relating to the company’s legal and risk related issues, including contract review and preparation, claims and litigation management, corporate governance, and compliance. 


 


The ideal candidate must have excellent written and oral skills and be extremely organized with a proven ability to establish priorities and work concurrently on a variety of projects.  The candidate must have the ability to work well independently and as part of a team and demonstrate resourcefulness and critical thinking in problem solving.  The candidate must be able to work closely with internal clients, external customers, external attorneys, and subject matter experts.


 


Key Responsibilities:


 


The Paralegal’s responsibilities (subject to attorney supervision) include, but are not limited to, the following:


 


Corporate Governance:


 



  • Maintain corporate documentation and records, including scheduling board meetings, perpetration of board packages, drafting agendas and board minutes, drafting corporate resolutions, and maintaining corporate minute books for multiple companies.

  • Assist with the formation and dissolution of company subsidiaries

  • Prepare Company Resolutions, Secretary’s Certificates and similar documents

  • Assist with maintenance of existing and new subsidiary business activities


 


Contracts:


 



  • Assist in the review and preparation of contracts and leases

  • Prepare confidentiality agreements, including reviewing, identifying, and summarizing legal and business issues on customer proposed confidentiality agreements

  • Coordinate with attorneys to review nonstandard changes to standard documents in compliance with various regulatory requirements

  • Maintain templates and updates of standard approved documents in corporate databases

  • Assist in the management of support documents for bank warehouse lines and coordination of documents at closing


 


Compliance:


 



  • Have working knowledge of legal and regulatory practices of the real estate and lending industries

  • Provide corporate support documents related to state regulatory audits


 


Claims and Litigation:


 



  • Monitor and track claims and litigation matters, including costs and expenses

  • Work with internal departments to resolve claims, demands and similar matters

  • Maintain status reports on claims

  • Manage subpoenas productions


 


General:


 



  • Perform a variety of legal-related tasks under the direction of attorneys

  • Respond to day-to-day questions and requests from team members and regulatory agencies

  • Maintain project calendar for Legal Department

  • Bachelor’s degree and/or paralegal certification preferred with at least 5 years of experience as a paralegal at a law firm or with a Mortgage Lender or Financial Institution. 

  • Ability to understand and interpret basic contractual provisions

  • Ability to define problems, collect data, and draw conclusions

  • Demonstrated ability in successful problem resolution

  • Excellent communication skills, both oral and written

  • Ability to effectively present information to management and customers

  • Well-developed project management skills

  • Proficiency in organizing and prioritizing work to meet deadlines with ability to adapt with changing environment

  • High attention to detail

  • Ability to work with minimal supervision

  • Ability to proficiently operate personal computer and other office equipment, including the ability to use and understand various software related to carrying out essential responsibilities of the position
